General terms and conditions for Unpyle's services.

1. Identity of the service provider

2. Scope

These general terms and conditions apply to all quotes, agreements and services delivered by Responsestudios BV, trading as Unpyle (“Unpyle”, “we”, “us”) to the client (“you”, “the client”). By signing a quote or starting a collaboration, you accept these terms.

Specific provisions in individual agreements take precedence over these general terms where they conflict.

3. Services

Unpyle delivers AI services in the areas of strategy, training and implementation. This includes among others:

  • Setup builds (one-off projects)
  • Content Sprints
  • Monthly retainers for ongoing setup management
  • Trainings and Q&A sessions

The exact scope, deliverables and prices are set out in individual quotes.

4. Quotes and agreements

Quotes are valid for 30 days, unless stated otherwise. A collaboration starts when both parties sign the quote, or when the client confirms in writing (including by email) to proceed.

5. Prices and payment

All prices are in euro and excluding VAT, unless stated otherwise.

Invoicing:

  • Setup builds: 50% upfront, 50% on delivery
  • Content Sprints: Fully invoiced at the start
  • Monthly retainers: Invoiced at the end of each month

Payment term: Invoices are payable within 14 days of the invoice date.

Late payment: In case of late payment, we reserve the right to:

  • Charge interest of 10% per year on the outstanding amount
  • Charge a flat-rate compensation of 10% of the outstanding amount, with a minimum of €150
  • Suspend services until payment is received

6. Duration and termination

Setup builds and Content Sprints are one-off projects with a fixed scope and duration as described in the quote.

Monthly retainers:

  • Except for the Content Sprint, a minimum commitment of 6 months applies
  • After the first 6 months, the agreement continues on a monthly basis
  • Both parties may terminate with 1 month written notice after the initial period
  • Termination must be made by email

Early termination: If a retainer is terminated before the end of the 6-month period, the remaining months are fully due.

7. Delivery and deadlines

We make reasonable efforts to meet agreed timelines. Delivery dates are indicative, unless explicitly confirmed in writing as fixed deadlines.

Delays caused by the client (late feedback, missing assets, unavailability) extend delivery times proportionally. We are not liable for the consequences of such delays.

8. Client responsibilities

The client is responsible for:

  • Providing feedback and approvals on time
  • Delivering brand assets, access credentials and other materials needed for the project
  • Reviewing and approving deliverables before publication or distribution
  • Ensuring that materials provided to us do not infringe on third-party rights

9. Intellectual property

Our work for you: All deliverables (content, templates, workflows, strategies) become the property of the client after full payment. This includes marketing content, setup configurations and documentation.

Our tools and methods: General methodologies, tools, frameworks and know-how that Unpyle uses across multiple clients remain our intellectual property. We retain the right to use similar approaches for other clients.

AI-generated content: Content generated with AI tools is delivered as is. The client is responsible for reviewing, approving and publishing AI-generated content. We provide quality control, but the client carries final responsibility for published content.

Website and brand content: Content on the Unpyle website, including text, visuals and code, is the property of Responsestudios BV unless stated otherwise. You may not reproduce, distribute or modify our content without written permission.

10. Confidentiality

Both parties commit to keeping confidential information received during the collaboration secret. This includes business strategies, client lists, prices, internal processes and any information marked as confidential.

This obligation applies for 2 years after the end of the collaboration.

11. Data processing and GDPR

Depending on the nature of the services, Unpyle may process personal data on behalf of the client. When this is the case, a separate data processing agreement (DPA) is drawn up and reviewed with an external data protection advisor to ensure full GDPR compliance.

The need for such clauses is assessed per project during the scoping phase.

12. Liability

Unpyle delivers its services with professional care. Our liability is limited to:

  • Direct damages only, up to a maximum of the total amount invoiced in the 6 months preceding the claim
  • We are not liable for indirect damages, lost profits, reputational damage or loss of data
  • We are not liable for the consequences of AI-generated content that has been approved by the client
  • We are not liable for the operation of third-party tools and platforms used in service delivery

Force majeure: Neither party is liable for delays or non-performance caused by circumstances beyond reasonable control, including but not limited to outages of third-party services, internet disruptions or government measures.

13. Portfolio and references

Unless agreed otherwise, Unpyle may mention the client’s name and a general description of the work in our portfolio, case studies and commercial communications. No confidential details will be shared without prior written approval.

14. Changes to these terms

We may update these general terms and conditions. Changes apply to new agreements and renewals, not to ongoing projects or active retainer periods. The current version is always available on our website.

15. Applicable law and disputes

These terms are governed by Belgian law. In case of a dispute, both parties commit to first seek an amicable solution. If no solution is reached, the competent courts of Belgium have exclusive jurisdiction.
